Medtronic's $235 million acquisition of RF Surgery Systems

Medtronic recently announced that it has signed a definitive agreement to acquire RF Surgical Systems, a RF surgical systems company, for approximately $235 million. The medical device company in Carlsbad, Calif., specializes in detecting and preventing items left behind in surgery (surgical sponges, gauze or drape). Other terms in the acquisition agreement have not been disclosed.

Medtronic's $235 million acquisition of RF Surgery Systems

Despite the rigorous surgical sponge counting protocol and the medical association's efforts to raise awareness in this area, occasional surgical medical items remain in the patient's body after wound closure. A sponge, gauze or drape left in the patient may require additional X-ray and corrective surgery to remove these medical items left in the body. If left untreated, these legacy medical supplies can cause serious problems, even life-threatening, such as intra-abdominal abscesses, intestinal or intestinal obstruction, colonic perforation, bleeding or infection.

The RF Surgical system is designed to be an aid to manual counting methods to help avoid, for example, surgical remnant sponge events that are severe and clinically harmful but preventable. The patented detection system tracks and monitors medical sponges, gauze and drape left in blood, dense tissue and bone with low RF signals embedded in radio frequency tags. This technology is dedicated to reducing complications due to surgery, reducing unnecessary surgery and improving operating room efficiency.

“Patients are supreme. Improving patient safety and efficacy is the top priority of our daily work. RF surgical technology is fully in line with our strategic development. This simple and cost-effective solution can avoid complications caused by surgery,” Medtronic Senior Chris Barry, vice president and president of the surgical innovation business under the MicroPort Treatment Business Group, said.

We are pleased to join the Medtronic team, and Medtronic’s long-standing commitment to patients coincides with RF Surgical,” said John Buhler, CEO of RF Surgical. “We are committed to driving RF surgical technology to international medical standards. Looking forward to the collaboration capabilities of both parties can bring innovation opportunities. "

This acquisition is in line with Medtronic's economic value strategy. By working with stakeholders in the healthcare sector, Medtronic is transforming to deliver products and services that are both clinically and economically valuable to the healthcare system. Medtronic focuses on transforming to value-based healthcare and playing a leading role in providing affordable, high-quality healthcare to more people.

RF Surgical will be part of the surgical innovation business of Medtronic's minimally invasive treatment business group. The transaction is expected to meet Medtronic's long-term financial strategy requirements for M&A and will not affect financial year earnings. The transaction is awaiting approval from the regulatory authorities and is expected to be completed in August 2015.
